The Sponsor and Designated Advisor team provides an end-to-end service, assisting clients listed on both the JSE’s Main Board and AltX markets to comply with the requirements of the JSE and the Securities Regulation Panel Code, both on an ongoing and transaction specific basis.
The team strives to provide clients with the highest levels of service, tailoring services to meet the specific requirements of clients and adding value wherever possible.
Sponsor and Designated Advisor services include:
- Advice on and assistance with complying with on-going obligations & requirements
- Advice and assistance with Corporate Governance requirements
- Drafting of all public announcements and submissions to the JSE
- Liaising with the JSE on a client’s behalf
- Updating clients continuously on regulatory changes
- Planning and assistance with investor relations and road show presentations
- Advice and assistance with structuring transactions
- Identification and initiation of opportunities as part of the broader corporate finance service offering
- Assistance with cross border transactions, including regulatory compliance, through the membership of M&A International and in conjunction with the association’s Capital Markets Group
Before and during the listing:
- Corporate restructuring
- ALTx Business Plan and Presentation
- Prospectus and general advisory
- Capital raising
Post-listing:
- Corporate actions such as acquisitions and disposals are appropriately executed in accordance with the JSE Listings Requirements.
- Continuing obligations such as the communication of directors' dealings, closed periods and their implications on insider trading, and ensuring that interim and year-end results comply with the various regulations.
